Incorporate Your Ontario Business in Just 30 Minutes—Fast and Hassle-Free!

  • Choose a Business Name
Select a unique and distinguishable name for your company that complies with Ontario’s naming requirements. You can opt for a custom name or a government-assigned numbered name. If choosing a named corporation, a NUANS report (included in our incorporation packages) is required. We’ll assist with reviewing your proposed name and provide alternative suggestions if needed.

  • Appoint Incorporators, Directors, Officers, and Shareholders
Designate individuals for these roles during the incorporation process. At least one person must act as an incorporator, director, and shareholder—one individual can fulfill all three roles. For Not-for-Profit organizations and Co-ops, a minimum of three directors is required.

  • Provide a Registered Office Address
Your business must have a registered office address within Ontario, which can be either commercial or residential. If you don’t have a suitable address, you can utilize our Address & Mail Forwarding Service (for registration purposes only).

No, you don’t need to live in Ontario to incorporate a business here. Directors can be from Ontario, other parts of Canada, or even outside the country. However, the incorporator must be a person or a business registered in Ontario.

The key difference between these two types of organizations lies in their purpose and how they handle profits:

For-Profit Organizations
Designed to generate profits for their owners or shareholders.
Focused on earning revenue through the sale of goods or services.
Primary goal is financial gain, rather than community or societal impact.

Not-For-Profit Organizations
Created to achieve specific objectives, such as social welfare, community development, or recreational activities.
Profits are reinvested into the organization to support its mission rather than distributed to owners or shareholders.
Prioritize serving a cause or purpose over earning income.

The main distinction lies in their roles and activities: an operating company runs the business, while a holding company owns assets.

Operating Company
Actively manages daily business activities.
Generates revenue by selling products or services.
Oversees assets, liabilities, and staffing to conduct regular operations.

Holding Company
Focuses on owning and controlling investments in other companies.
Does not perform active business operations.
Holds assets like shares, real estate, or intellectual property. For example, a holding company might own a subsidiary and act as its shareholder.

In essence, operating companies drive business activities, while holding companies manage investments and assets.

What are the benefits of a Holding Company?
  • Asset Protection and Risk Management: A holding company acts as a shield for operationally active businesses and their assets, protecting them from creditor claims or lawsuits. This structure isolates risks, ensuring better financial security.
  • Tax Planning Opportunities: Holding companies can use income splitting, capital gains exemptions, and tax-deferred intercorporate dividends, enabling businesses to optimize their tax strategies.
  • Enhanced Business Flexibility and Control: By owning multiple subsidiaries, a holding company provides greater flexibility in managing and controlling various business ventures. This setup supports efficient operations and decision-making across multiple entities.
  • Succession Planning and Wealth Preservation: A holding company facilitates the smooth transfer of assets and wealth to successive generations, making it an effective tool for family businesses or long-term wealth management
  • Tax Deferral and Reduction: Taxes on earnings can be deferred or reduced through strategic structuring within a holding company, offering significant financial advantages
  • Access to Low-Interest Loan Opportunities: Holding companies often create opportunities for low-interest loans, enabling cost-effective financing for subsidiaries or affiliated businesses.
  • Cost-Effective Purchasing Power: With a centralized structure, holding companies can negotiate better deals and streamline purchasing processes for their subsidiaries, reducing overall expenses.

If you’re a regulated professional in Ontario, such as a doctor or lawyer, incorporating a professional corporation is an option. These corporations follow specific rules set by your profession’s governing body. Keep in mind, incorporation doesn’t protect you from personal liability for malpractice—you remain responsible for your professional actions. The corporation’s activities are limited to practicing your profession and related tasks.

A Personal Real Estate Corporation (PREC) is a type of corporation that allows real estate professionals in Ontario to operate their business through a corporate structure. The real estate professional acts as the “controlling shareholder,” maintaining control over the corporation.

Benefits of a PREC:
Potential tax savings through flexible income management.
Tailored financial benefits depending on individual circumstances.

Cooperatives are a business model organization wherein ownership and operations will be managed and transacted by the members themselves. They are founded on democratic principles; consequently, each member has an equal say in the decision-making process. They serve people’s purposes for consumer services, producer services, community development, education, sustainability, and innovation in technology. The specific use for a cooperative would depend upon the needs and goals of its members. An example of a cooperative includes MEC, or Mountain Equipment Co-op. They are a retail co-operative that sells outdoor recreation gear and clothing and only sell to its members.

Absolutely! We provide three types of post-incorporation and maintenance services to assist you in managing and maintaining your business effectively.
